Article 1 - Definitions

• Additional Agreement: An agreement for products, digital content, and/or services related to a distance contract provided by the entrepreneur or a third party, including but not limited to warranties, service agreements, or maintenance contracts.
• Reflection Period: The time frame during which the consumer can exercise the right of withdrawal, specified as 14 calendar days from the day of receipt of the goods.
• Consumer/Client: A natural person acting for purposes unrelated to trade, business, craft, or profession, explicitly excluding any commercial entities.
• Day: A calendar day, which includes weekends and public holidays.
• Digital Content: Data produced and delivered in digital form, including software, applications, and e-books, that may be subject to specific licensing agreements.
• Duration Agreement: An agreement for the regular delivery of goods, services, and/or digital content over a specified period, with terms clearly outlining renewal and termination rights.
• Durable Data Carrier: Any tool, including email, that allows the storage of information for future consultation, ensuring that consumers can access their rights and agreements.
• Right of Withdrawal: The consumer's option to cancel the distance contract within the cooling-off period, with clear instructions provided on how to exercise this right.
• Entrepreneur: A natural or legal person, a member of Stichting Webshop Keurmerk, offering products, digital content, and/or services at a distance, including obligations regarding consumer protection laws.
• Distance Contract: An agreement concluded between the entrepreneur and the consumer within an organized system for distance selling using remote communication techniques, ensuring transparency and accessibility.
• Technique for Distance Communication: Means used to conclude an agreement without in-person interaction, including websites, mobile applications, and other electronic means.
• Customization and Projects: Products made based on client specifications, which may not be subject to standard return policies.

Article 3 - Applicability
These terms apply to every offer and distance contract between the entrepreneur and the consumer. The terms will be provided prior to contract conclusion. If not possible, the entrepreneur will inform the consumer how to access the terms and send them free of charge upon request, ensuring compliance with UAE consumer protection laws.

Article 4 - The Offer
Offers with a limited validity period or conditions will be clearly stated. Each offer will include a detailed description of the products and services, including pricing, specifications, and any applicable warranties, to enable informed decision-making by the consumer. All offers are valid for 2 weeks unless otherwise specified in the offer.

Article 5 - The Agreement
The agreement is concluded upon acceptance by the consumer. If accepted electronically, the entrepreneur will confirm receipt. The consumer may dissolve the agreement until this confirmation is received. An order confirmation will include all essential details, including total price, delivery details, and consumer rights.

Article 6 - Pricing
Quoted unit prices are based on the total volume of the original request. Any changes in quantities or part numbers will invalidate the quoted prices. Prices will not increase during the validity period, except for VAT changes. Price increases within three months after the agreement are allowed under specific conditions, which will be communicated to the consumer.

Article 7 - Compliance and Guarantees
The entrepreneur guarantees that products/services comply with the agreement and applicable UAE laws. Customized items do not follow standard warranty procedures and are non-returnable, clearly stated at the point of sale.

Article 8 - Delivery and Inspection
Orders will be executed promptly, typically within 30 days from receipt of payment unless otherwise agreed. To avoid issues with the forwarder, consumers should inspect the goods in the presence of the delivery driver before signing the delivery note. If there are any damages, please inform us and provide the delivery note detailing the damages within 24 hours. Claims cannot be processed without this documentation. The entrepreneur has obtained special insurance for the transport of goods to ensure financial protection against damages. However, without the signed delivery documents and detailed damage information, the forwarder will not accept any claims.

Article 9 - Duration Transactions
Consumers may cancel indefinite agreements with a one-month notice. Fixed-term agreements can be canceled at the end of the term with similar notice. Consumers shall be informed of their rights regarding the termination of contracts.

Article 10 - Changes to Assignment
Changes can occur with mutual consent, which may affect price and delivery time. Such changes must be documented in writing and agreed upon by both parties.

Article 11 - Suspension and Dissolution
The entrepreneur may suspend or dissolve the agreement if the client fails to meet obligations or in cases of force majeure. Notice of suspension or dissolution must be provided in writing.

Article 12 - Early Termination
The entrepreneur may terminate the assignment prematurely under specific conditions without compensation, with prior written notice to the consumer.

Article 13 - Payment
Orders must be fully paid before they can be reserved or delivered, in accordance with company policy. Accepted payment methods include:

• Bank transfer
• Online payment via secure payment link (credit/debit card)
  Please note that our delivery drivers do not accept cash or checks upon delivery. Any cash or check payments must be deposited directly into our bank account by the customer. An invoice will be provided detailing the purchase.

Article 14 - Complaints Procedure
Complaints must be reported in writing within one month. Late complaints may result in loss of repair or replacement rights. The entrepreneur commits to addressing complaints promptly and effectively.

Article 15 - Liability
Liability is limited to direct damages caused by the entrepreneur’s failure, capped at the invoice value or insured amount. The entrepreneur will not be liable for indirect or consequential damages.

Article 16 - Limitation Period
Claims against the entrepreneur must be made within one year from the date of the event leading to the claim, in accordance with UAE law.

Article 17 - Indemnification
Clients indemnify the entrepreneur against claims from third parties arising from assignment execution not attributable to the entrepreneur, including legal costs.

Article 18 - Force Majeure
The entrepreneur is not liable for obligations during events of force majeure, defined as external events beyond the control of the entrepreneur, including natural disasters, strikes, and government regulations.

Article 19 - Retention of Title
All goods supplied remain the property of the entrepreneur until full payment is received. The consumer shall not resell or dispose of goods until ownership has transferred.

Article 20 - Intellectual Property
All rights to plans, documents, and creations made by the entrepreneur remain with them, and any unauthorized use is prohibited. Consumers may not reproduce or distribute any proprietary material without prior written consent.

Article 21 - Confidentiality
All client information will be kept confidential unless disclosure is legally required. The entrepreneur commits to safeguarding personal data in compliance with applicable data protection laws.

Article 22 - Nullity
If any part of these terms is void, the validity of the remainder is not affected. The parties agree to replace void provisions with valid ones that reflect the original intent.

Article 23 - Additional Provisions
Any additional provisions must not be detrimental to the consumer and should be documented in writing, ensuring clarity and mutual understanding.

Article 24 - Shipments Outside UAE
Shipments outside the UAE are subject to local import duties and release agent fees. The consumer is responsible for any additional costs incurred during international shipping.
